§ 1 General provisions

The online store operating at www.iiot-shop.com is leaded by TECHBASE Group Sp. z o.o. with headquarters in Gdynia (81-365), ul. Batorego 7, entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court Gdańsk-Północ in Gdańsk, 8th Commercial Division of the National Court Register under KRS number: 0000425382, NIP: 5833153380, REGON: 221679963, telephone number: +48 58 345 39 22.

The offer presented at Industrial IoT Shop (iiot-shop.com) does not constitute an offer within the meaning of art. 66 § 1 of the Civil Code and other relevant legal provisions applicable to the seller’s country.

§ 2 Conclusion of the contract / ordering process

Registration of shop users and placing orders is possible only for legal entities and companies. Registration of private clients and natural persons or organizational units without legal personality is not possible, and orders placed by them will not be binding.

Through our online portal you can order the offered articles using the online form, e-mail or telephone. Filling out the form and sending the order results is a binding offer from you. Internet, e-mail and telephone orders have the same legal force. By placing an order, you declare in a binding manner that you accept these General Terms and Conditions (GTCs) and express your willingness to purchase the ordered articles. Placing an order is confirmed electronically or by phone; however, this confirmation is not synonymous with the acceptance of the order for execution. The contract becomes effective as soon as you receive the ordered items.

§ 3 Payment terms

Forms of payment for the goods in iiot-shop.com store:

  • Paypal payment
  • prepayment by a traditional transfer (ask Sales)
  • collection (payment on delivery) (ask Sales)

In the case of collection, the Bill of Lading is the document confirming the payment. In the case of deliveries abroad, we reserve the right to limit the choice of payment methods.

§ 4 Collection of goods

Before picking up the goods, please check if it is compatible with the order placed. In the event of non-compliance, refuse to receive and contact the Customer Service Office immediately. We will send the ordered goods promptly. If a damaged parcel has arrived, write the damage report in the presence of the courier and contact the Customer Service Office.

§ 5 Delivery terms

Shipments are sent via standard courier service UPS (shipments are delivered within 1 business day to 17 hours). The goods sent by us are always well protected so that they will not be damaged during transport.

The delivery of goods to countries belonging to the European Union is based on the price list and regulations of the courier company UPS or GLS depending on the customer’s choice (the cost of transport is added to the invoice). At the customer’s request, we can send the goods via an indicated courier company. All shipping and insurance costs are covered by the customer.

When transport takes place outside the EU, delivery is only made at the expense of the contracting authority (EXW).

§ 6 Availability of ordered goods

The order is executed immediately when the goods are in stock. In the event of unavailability of all or part of the goods ordered by the Customer, the Customer is informed about the status of the order and decides on the manner of its implementation (partial implementation, extension of waiting time, cancellation of the entire order).

§ 7 Warranty and returns

The warranty period for the products of the iiot-shop.com store is 12 months (the warranty period for non-consumable products), with that the possibility for individual establishment of a different warranty period of specific products with Clients is reserved and will require prior and clear confirmation by the Seller in the form of a separate contract, in writing in order to maintain validity.

The purchaser is obliged to become familiar with general warranty conditions (GWC), instruction manual, safety manual and all other documents, attached to the product.

If the Buyer does not notify the Seller of any reservations pertaining to the above Documentation, including its incompleteness, within a deadline of 3 (three) days from the date of delivery (issue) of the purchased product, then it is considered that the Seller has supplied correct and complete Documentation with the purchased product. The notification referred to in the previous sentence requires written or e-mail form under rigor of invalidity, with the e-mail sent to the Seller’s e-mail address, indicated on his www page for contact with him.
In light of the fact that the General Terms of Warranty are available on the internet site of the Seller, and in accordance with the above, the Buyer is obliged to become familiar with them, then directing an inquiry pertaining to purchase of the products offered by the Seller (or a similar statement) will, in consequence, be synonymous with the Buyer’s confirmation that he has become familiar with the General Terms of Warranty (GTW), has no reservations directed towards these terms and thus, accepts all responsibilities resulting from them, in light of which the GTW will constitute an integral part of the contract signed by the sides.

In addition to the situations listed in the warranty conditions, returns of the ordered equipment are not accepted.

Service requests should be made by the technical support portal TechBase Support Portal (http://support.techbase.eu) immediately after identifying malfunction.

§ 8 Reservation of ownership

We reserve the right to all of the articles we provide until all our claims against you or to the person who accepted the articles have been met.

This also applies to claims that may arise in the future. In order to assert our retention of title, we are entitled to request the immediate release of the articles with the exclusion of all retention rights, unless it is a valid and undisputed counterclaim established.

§ 9 Responsibility for correctness of information

We do not guarantee that the internet portal will meet your requirements and that it will be available all the time without interruption in a safe and error-free manner. The use of the internet portal takes place at your own risk. We do not assume any liability in particular in connection with events that may occur as a result of using the web portal and for the correctness of information obtained through the portal. In exceptional situations, we reserve the right to offer you a different product than the one ordered, with the same or better parameters or the right to refund a payment.

§ 10 Intellectual property protection

Texts, photos, sounds, graphics, animations and videos as well as their distribution on our websites are protected by the Copyright Act and other protected rights. The content of these websites may not be copied, distributed, changed or made available to third parties. In addition, our website contains photos that are subject to the copyright of third parties. Unless otherwise stated, all brand marks on our websites are protected by trademark law. We do not grant licenses to use our intellectual property or intellectual property of third parties.

§ 11 Personal data

The data entered into the order form is used by TECHBASE Group Sp. z o.o. exclusively for the purpose of carrying out orders, providing commercial information and customer satisfaction surveys. Company and personal data are sent and stored in compliance with all security measures that meet the requirements of Polish law. Each person or entity has the right to view and edit their data, which in the process of placing the order has entered the iiot-shop.com IT system, as well as the opportunity to exercise all rights under the Act of 29 August 1997 on the protection of personal data.

The customer making the purchase in the store agrees to transfer his e-mail address to TECHBASE Group Sp. z o.o. with headquarters in Gdynia and for processing by the store iiot-shop.com and TECHBASE Group Sp. z o.o., the Customer’s personal data for marketing purposes to present the promotional offer (in accordance with the applicable provisions of the Personal Data Protection Act of 29.08.1997)
